Since the publication of the "Guidelines for Third-Party Committees in Corporate Misconduct Cases" by the Japan Federation of Bar Associations in 2010, although the practice of establishing and investigating third-party committees for large-scale corporate scandals has become established, there are many cases in which other forms of investigation committees, such as "special investigation committees," are established in the investigation of recent corporate scandals, and the number of cases in which third-party committees are established seems to be on the decline.In addition, regarding the third-party committee, some problems have been pointed out, such as the fact that the activities are black boxed while the charges are high, the question of whether the investigators are truly independent of management, and the fact that the scope of the investigation is too narrow and may not have led to a clarification of the actual situation.
In light of this situation, this video explains the history and current status of third-party committees, as well as the stance of authorities, stock exchanges, and audit firms toward third-party committees, and looks ahead to the future of third-party committee practice.
